End User Licence Agreement

This Agreement is between 18317208 Canada Corp., operating as OtterSR, a federal corporation incorporated under the Canada Business Corporations Act, with its registered office at 83 Gruhn St, Kitchener, ON N2G 1S5 ("we", "us"), and the person or organisation using OtterSR ("you").

Last updated · Version 2026-11-05.3

1.What this covers

OtterSR is a hosted web application for conducting systematic reviews with the assistance of large language models. This Agreement covers your use of the hosted service. It is not a sale: no copy of the software is delivered to you and no ownership passes to you.

Where a separate Data Processing Agreement applies, that document governs our handling of personal data and prevails over this one on that subject.

2.Your licence

We grant you a non-exclusive, non-transferable, revocable right to use OtterSR for your own research, for as long as this Agreement is in force and you meet its terms. You may not sublicense, resell or provide it as a service to others.

You may not:

  • attempt to derive our source code, models or prompts by any means, including systematically extracting outputs to train or evaluate another system;
  • use the service to build a competing product;
  • circumvent any limit, quota or access control, including the limit of one first-review credit per account and per card;
  • upload anything you do not have the right to upload (see clause 5);
  • upload personal health information (see clause 4).

3.The beta

OtterSR is in open beta: anyone may create an account. While it is:

  • The service is provided as-is. There is no service level, no uptime commitment and no support commitment. Features may change or be withdrawn without notice.
  • An invitation is personal. An invitation link works only for the address it was sent to, so there is no point forwarding it. We may revoke an invitation or close an account at any time.
  • Pre-release information is confidential. Do not publish screenshots, performance figures or descriptions of unreleased features without our written consent. This does not restrict you from describing, in a published review, the methods you used and the results you obtained.

Real money is charged during the beta: clause 8 applies from the moment you load money onto a review.

4.Acceptable use, and the rule about health information

You must not upload personal health information, personally identifying patient data, or any special-category personal data. OtterSR is built for published and unpublished *research literature*, not for patient records.

There is no filter that enforces this. We do not scan your uploads for such content. The obligation is yours, and uploading it is a breach of this Agreement.

You must also not use the service to break the law, to infringe anyone's rights, or to attack, overload or probe our systems or anyone else's.

5.Your content

You keep all rights in everything you upload and everything you produce: references, protocols, PDFs, decisions, extracted data and exports.

You grant us only the licence we need to run the service for you: to store, copy, transmit, process and display your content, and to send the relevant parts to the model provider named in clause 6 so that it can answer your questions. That licence ends when the content is deleted.

You warrant that you have the right to upload what you upload, including any copyrighted article PDFs, and that doing so does not breach a publisher agreement or licence that binds you. We process those files only on your instruction, store them for your account alone, never share them across accounts, and delete them when you delete them.

We do not use your content to train models, and we do not sell it.

6.AI output, and what it is worth

Every engine tier (Otter-Nano, Otter-Mini, Otter-Pro and Otter-Max) runs on OpenAI's API, in the United States. Prompts built from your content are sent there over an encrypted connection, with storage turned off. The search index is built there too: passages from your documents are turned into search vectors (embeddings) by OpenAI's text-embedding-3-small model.

Model output is a suggestion, not a decision. It can be wrong, and it can be confidently wrong. The application is deliberately built so that a person confirms every screening decision: an AI answer never fills in a human answer by itself.

You are responsible for the conclusions of your review. We do not warrant that model output is accurate, complete, reproducible or fit for any methodological standard, and we are not your co-author. Any accuracy figures we publish are measurements on particular datasets and are not a promise about yours.

7.Availability, security and your responsibilities

We will take reasonable care to keep the service available and your data secure, but we do not promise uninterrupted service.

You are responsible for the security of your account, including anything done by someone using your sign-in. Tell us promptly at 83 Gruhn St, Kitchener, ON N2G 1S5 if you believe your account has been used without your permission.

8.Fees

  • The price for AI use is the per-token price of the engine tier you choose, and PDF parsing is priced per page, as published on our pricing page. The price applied is recorded on every usage record, so a past charge never changes because a price changed later.
  • Money is loaded before it is spent. Each review has its own balance. You load money onto it by card, $10 to $2,000 at a time, and AI work on that review draws it down. Nothing is owed and there is no monthly bill. When a balance cannot cover a call, the call is not made, and AI on that review waits until money is loaded.
  • The first-review credit. Saving a card charges nothing and puts $50 on a review of your account, once per account and once per card. Prepaid cards do not qualify. The credit applies only to usage on OtterSR, has no cash value and is not refundable. We may change or withdraw the offer, and may remove credit obtained in breach of clause 2.
  • Auto-reload is off unless you switch it on. When it is on, your saved card is charged an amount you choose whenever the balance falls below a line you choose, with nobody present to approve each charge.
  • Refunds. Money loaded onto a review is not refunded to the card; unused balance can be moved to another of your reviews. If something went wrong on our side, tell us and we will put it right with a credit, or a refund where a credit cannot. Nothing here limits a statutory right that cannot be limited.
  • Where a model's answer is unusable and has to be requested again, those attempts are billed like any other call, capped at five attempts per screening answer and three per extracted value. Requests the provider refused or failed to serve are not billed.
  • Taxes are added where we are required to collect them.
  • If a payment fails, the money is not added and AI pauses once the balance runs out. Exports are never blocked. Your data and your ability to take it with you do not depend on your balance.

9.Ending this Agreement

You may stop using OtterSR at any time and close your account from within the application. We may suspend or end your access if you breach this Agreement, or if we discontinue the service.

On closure:

  • Your content is destroyed 60 days after you ask us to close the account, and the request can be cancelled during that period.
  • A review you delete is recoverable for 30 days and is then destroyed, including any PDFs attached to it.
  • Export first. A full machine-readable export is available at any time while the account is open.
  • Financial records — invoices, usage records and the audit log — are kept for as long as the law requires. They contain no references, documents or answers.

10.Liability

Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, and to the maximum extent the law allows: the service is provided without warranties of any kind; we are not liable for indirect or consequential loss, lost profits, lost data or the cost of substitute services; and our total liability is limited to the amounts you paid us in the 12 months before the claim arose.

11.Third-party software

OtterSR is derived from CAN-SR, published under the MIT Licence by the Public Health Agency of Canada's Data, Partnerships and Innovation Hub. That copyright notice and permission notice are reproduced in the application's About page and in the NOTICE file. We are not affiliated with, endorsed by, or acting on behalf of the Public Health Agency of Canada.

12.Changes

We may change this Agreement. If a change materially affects your rights we will give notice in the application or by email before it takes effect. Continuing to use OtterSR after that is acceptance.

13.Governing law

This Agreement is governed by the laws of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have exclusive jurisdiction, except that we may seek injunctive relief anywhere.
